Article 2 — Subject-matter and scope of application

These terms and conditions govern access to the Platform and the use of all its services. They include common provisions, rules specific to the Marketplace, those applicable to the booking of stands at Fairs, and final provisions.

The Company operates two distinct activities: the organisation of physical fairs and the commercialisation of spaces to Exhibitors, on the one hand, and the operation of an online marketplace, on the other hand. Each activity is subject to its own specific provisions.

These terms and conditions prevail over any other document, in particular any general terms and conditions of purchase of a professional Seller, unless otherwise agreed in writing by the Company.

Article 3 — Identification of the Publisher

Salon Du Vintage
hosted by Exactly 26! LLC
Limited Liability Company (LLC)
1680 Michigan Avenue, STE 722, Florida 33139, USA

The Platform is hosted by Shopify Inc., 151 O'Connor Street, Ground Floor, Ottawa, Ontario K2P 2L8, Canada, or by any successor entity of the Shopify group. Payments are processed by the secure payment provider(s) indicated at the time of checkout.

Article 4 — Acceptance and Modification

The opening of an account, the publication of a Listing, the placement of an Order and the booking of a stand shall entail full and unreserved acceptance of these terms and conditions in their version in force on the date of the relevant transaction.

The Company may modify these terms and conditions. Any substantial modification applicable to Members shall be brought to their attention at least thirty days before it comes into effect, except where immediate modification is required by law, an authority, or security necessity. Modifications shall not apply retroactively to Orders and bookings already confirmed.

Article 5 — Member Account

5.1 — Creation. The opening of an account is reserved for natural persons of legal age with full legal capacity as well as legal entities represented by an authorized person. It requires the provision and, where requested, verification of a valid email address.

5.2 — Accuracy and Update. The Member guarantees the accuracy of the information provided and undertakes to keep it up to date, in particular their email address, postal address and, for Sellers, their bank details.

5.3 — Confidentiality. The account is strictly personal. The Member is responsible for the confidentiality of their credentials and shall inform the Company without delay of any unauthorized use.

5.4 — Single Account. A Member may only hold a single account, unless expressly authorized by the Company. The creation of multiple accounts in order to circumvent a restriction or influence reviews constitutes a breach.

5.5 — Closure. The Member may request the closure of their account at any time. It shall only take effect once pending Orders have been completed and sums due have been settled.

Article 6 — Role of the Company

For the Marketplace, the Company acts as an intermediary platform operator, providing a technical space that enables Sellers and Buyers to connect. The sales contract for the Item is concluded exclusively between the Seller and the Buyer.

The Company is not the owner of the Items offered by Sellers and, except for any expressly provided service, does not take possession of them, handle them or authenticate them. It does not guarantee their authenticity, their condition or their conformity with the description. Liability for the authenticity, provenance, legality and description of the Item lies with the Seller.

The Company may organise payment collection, shipping and Payout through technical and payment service providers. These interventions do not confer upon it the status of seller of the Item.

When an authentication service is requested, the Company organises or facilitates the intervention of the competent professional in accordance with the applicable conditions: Article 21.2 for the Marketplace and Article 38.2 for the Salons. The technical conclusion rests with the intervening third party and does not constitute a personal guarantee by the Company.

Article 7 — Messaging and Fair Practice

The Platform may provide a messaging system enabling the Buyer to ask the Seller a question prior to purchase and to track an Order. Communications must remain polite and relate to the Item or Order in question.

Any attempt to conclude outside the Platform a transaction initiated through the Platform in order to avoid the Commission is strictly prohibited. The Company may review communications to the extent necessary to process a report, a dispute, a claim or to comply with its legal obligations.

Article 8 — Intellectual Property and Absence of Brand Affiliation

The Platform, its visual identity, its texts, its databases and its developments are the property of the Company or its licensors and are protected by intellectual property law.

The Seller retains the rights it holds in the photographs and texts of its Listings. It grants the Company, for the duration of the publication and for twenty-four months after the removal of the Listing, a non-exclusive, royalty-free licence to reproduce and display them for the sole purpose of operating, promoting and archiving the Platform and its services.

Third-party names, logos and brands mentioned on the Platform or present on the Items belong to their respective owners. The Company is neither affiliated with, approved by, mandated by, nor a representative of these brands and does not act on their behalf. This absence of affiliation does not concern the signs, trademarks and names operated directly by the Company under the name "Salon du Vintage".

Article 9 — Personal Data

The processing of personal data implemented by the Company is described in the Privacy Policy accessible on the Platform.

For the purposes of fulfilling an Order, the data strictly necessary for delivery may be communicated to the Seller, the carrier and the technical service providers concerned. Each recipient is required to use such data only in accordance with the purpose for which they are transmitted.

Article 10 — Availability and modification of the service

The Company endeavours to ensure the accessibility of the Platform without being bound by an obligation of result. It may suspend access for maintenance, updates, incidents or security reasons.

The Company may modify functionalities, add new ones or remove existing ones. The removal of a paid functionality during its performance shall entitle the user, where applicable, to a refund for the unconsumed part of the service.

Title II — Marketplace

Sale and purchase of second-hand Items between Members, via the Platform.

Chapter 1 — The Seller

Article 11 — Access to the status of Seller

Access to the sale is open to adult Members residing in a country served by the Platform. The Member declares whether they are acting as an individual or a professional. This status is brought to the attention of the Buyer when it conditions their rights.

A Seller is considered a professional when acting for purposes falling within the scope of their commercial, industrial, craft, or liberal activity. They shall provide the legal information required for their activity.

The Company may request any supporting document useful for verifying the identity, status, or bank details of the Seller and may suspend access to the sale or a Payout in the absence of a sufficient response.

Article 12 — Fiscal and Social Obligations of the Seller

The Seller is solely responsible for their tax and social security obligations in respect of the sales made. The Company shall communicate the summary statements and make the declarations required of it by applicable regulations, in particular the platform operator reporting obligations provided for by the DAC7 framework where applicable.

The Seller undertakes to communicate the information necessary for these reporting obligations and guarantees their accuracy.

Article 13 — Listing for Sale

13.1 — Listing Content. The Seller shall describe the Item truthfully and accurately. The Listing must include the information necessary for the purchasing decision, in particular a description, a price, the condition of the item, actual photographs, and shipping characteristics.

The Seller must report any defect, repair, alteration, or significant trace of use. For a branded Item, they shall indicate the information available to them regarding its provenance and authenticity.

13.2 — Prohibited Items. In particular, the following may not be listed for sale:

  • counterfeits and Items infringing intellectual property rights;
  • goods whose sale is prohibited or subject to non-compliant regulations;
  • weapons, protected species, pharmaceutical products, alcohol, tobacco, and other prohibited or regulated categories when their sale on the Platform is not authorised;
  • dangerous goods, goods not compliant with applicable regulations, or goods subject to a recall;
  • goods that the Seller does not own or of which they do not have free disposal.

13.3 — Pricing. The Seller freely sets the price of their Items, in compliance with applicable regulations. Prices are expressed in the currency displayed on the Platform.

13.4 — Commitment to Sell. The publication of a Listing constitutes a commitment to sell the Item under the displayed conditions when an Order is validly formed. The Seller shall promptly remove the Listing of any Item that has become unavailable.

13.5 — Authenticity and Provenance. The Seller guarantees that they own the Item or hold all the rights necessary to sell it. When an Item is presented as originating from a specific brand, designer, house, or origin, the Seller guarantees the truthfulness of the information provided and undertakes not to offer an Item that they know or suspect to be counterfeit.

Upon first request by the Company, the Seller shall provide the supporting documents and provenance details available to them. The Company may refuse or remove a Listing if a serious doubt remains.

The Seller remains solely responsible for the authenticity and provenance of the Item. The validation or moderation of a Listing does not constitute authentication and does not transfer any responsibility for authenticity to the Company.

Article 14 — Moderation of Listings

The Company may review a Listing before or after its publication, request additional clarifications or photographs, correct its classification, refuse its publication or withdraw it when it appears contrary to these terms, regulations or third-party rights.

This review is a compliance and plausibility check. It does not constitute a material appraisal or systematic authentication of the Item.

Article 15 — Validity Period of Listings

A Listing is published for a maximum period of three hundred and sixty-five days. It may be renewed or republished depending on the available features and subject to a new review.

The Seller may withdraw a Listing at any time, except when an Order concerning the Item is in progress.

Article 16 — Commission and Fees

16.1 — Principle. In consideration for the matching service, payment processing, organisation of shipping and associated services, the Company charges a Commission and processing fees on each sale, which are withheld at the time of the Payout.

16.2 — Rates.

  • Company Commission: 15% of the Item's selling price.
  • Processing fees: 3% of the Item's selling price.

Shipping costs paid by the Buyer are not included in the Commission calculation base. The same scale applies to private and professional Sellers, barring any general modification of the scale in accordance with Article 4.

16.3 — Estimation of the Net Seller Amount. The Platform may display to the Seller an estimate of the net amount likely to be paid out to them. This estimate is indicative; only the final settlement of the transaction shall be authentic.

16.4 — Shipping Costs. Shipping costs are borne by the Buyer and are collected with the Order. They do not constitute remuneration for the Seller. The actual cost of shipping or of the transport label is withheld or deducted prior to the Payout to the Seller.

16.5 — Other Fees. Registration, account creation, publication of a Listing and use of the messaging service are free of charge, unless otherwise clearly indicated prior to subscription. Optional services are billed separately.

Article 17 — Order Confirmation by the Seller

When a Buyer places an Order, the Seller has forty-eight hours to confirm the availability of the Item and its ability to dispatch it.

  • In the event of confirmation, the Order proceeds.
  • In the event of refusal or failure to respond within the time limit, the Order is cancelled and the Buyer is refunded the corresponding sums.

Repeated refusals or failures to respond may lead to restrictions or penalties under Article 22.

Article 18 — Dispatch by the Seller

The Seller shall dispatch the Item within five business days of Order confirmation, using the label or transport method validated by the Platform.

The Seller shall package the Item with care appropriate to its nature and declare exact weights and dimensions. Any additional cost attributable to an inaccurate declaration may be deducted from the Payout.

Bulky, heavy or fragile items may be subject to a quotation or a specific transport method accepted by the Buyer.

Article 19 — Payout to the Seller

19.1 — Holding of funds. The price paid by the Buyer is processed by the payment service provider used by the Platform and is only made available for Payout under the conditions set out below. This mechanism is intended in particular to allow for the handling of a failure to deliver or a dispute raised within the provided timeframes.

19.2 — Triggering.

  • Delivery confirmed by the carrier: Payout becomes due seventy-two hours after delivery, in the absence of a dispute.
  • No delivery confirmation received: Payout becomes due fourteen days after dispatch, barring incident or dispute.
  • Dispute raised: Payout suspended until the closure of the dispute handling process or until the implementation of an applicable decision or agreement.

19.3 — Amount. The Payout corresponds to the selling price of the Item, minus the Commission, processing fees, any transport costs retained where applicable, and any sum expressly owed by the Seller in connection with the transaction. The price of Authentication requested and paid for by the Buyer shall not be borne by the Seller, unless expressly agreed otherwise.

19.4 — Terms. The Payout is ordered within five business days of becoming due, subject to banking delays and verifications required by the payment service provider. A statement or account summary is made available to the Seller.

19.5 — Suspension. The Company or its payment service provider may suspend a Payout in the event of a dispute, suspicion of fraud, inconsistent bank details, serious report concerning the Item or legal obligation.

Article 20 — Invoicing

The Company issues to the Seller the invoices corresponding to its own services, notably the Commission and processing fees. The professional Seller remains responsible for its own invoicing to the Buyer where legally required, as well as for its tax and VAT obligations.

Article 21 — Paid optional services

21.1 — Featured placement. The Seller may subscribe to featured placement services. Their price, duration and content are presented prior to payment. These services do not entail any guarantee of sale, traffic or permanent ranking.

21.2 — Authentication service at the Buyer's request. Prior to purchase, where the service is available for the relevant Item, the Buyer may request Authentication as an additional service and at its own expense. The price of the service is displayed and accepted separately from the price of the Item and the delivery costs.

The Seller may not refuse an Authentication request validly subscribed to and paid for by the Buyer. It undertakes to provide the information, documents, photographs or, where the process so requires, physical access to the Item necessary for the inspection.

Authentication is performed by an independent expert, an auctioneer or a specialized partner. The Company acts solely as an intermediary or organizer of the service and does not personally guarantee the authenticity of the Item.

If the expert consulted concludes that the Item is not authentic or constitutes a counterfeit, the sale is not completed or is cancelled depending on the status of the Order; no Payout is due to the Seller and the Buyer is refunded the sums that must be returned to it.

If the expert cannot make a conclusive determination, the terms and conditions announced prior to the subscription of the service shall apply. The Company may suspend the transaction and the Payout during the necessary checks.

21.3 — Absence of request prior to purchase. Where the Buyer chooses not to subscribe to the Authentication offered prior to purchase, it acknowledges that the Company has neither certified nor guaranteed the authenticity of the Item. Consequently, it may not hold the Company liable for the absence of an authentication which it did not request. This stipulation does not deprive the Buyer of the mandatory rights it may exercise directly against the Seller.

21.4 — Performance of optional services. The terms and conditions for the performance of optional services are presented to the Buyer prior to their payment. The Company applies, where applicable, the mandatory formalities and information provided for by applicable regulations.

Article 22 — Breaches and sanctions

A breach shall constitute, in particular, the fact:

  • of publishing an inaccurate, misleading Listing or one relating to a prohibited Item;
  • of knowingly offering for sale a counterfeit, concealing serious doubt regarding authenticity or providing a falsified document;
  • of refusing, on the Marketplace, a paid Authentication validly requested by a Buyer;
  • of repeatedly refusing or allowing Orders to expire;
  • of failing to ship a confirmed Item or shipping it in a condition substantially different from the Listing;
  • of circumventing the Platform in order to avoid the Commission;
  • of making insulting, discriminatory, threatening or fraudulent remarks;
  • of manipulating reviews or accounts.

Depending on the severity and repetition of the breach, the Company may issue a warning, remove Listings, restrict certain features, suspend the account or terminate it, in compliance with applicable legal obligations.

Article 23 — Access to purchase

Provisions applicable to Members who purchase Items on the Marketplace.

Purchasing on the Marketplace is reserved for Members who hold an account where this feature so requires. The Buyer declares that they have the legal capacity to enter into a contract.

Article 24 — Order

24.1 — Process. The Buyer selects the Items, provides the necessary information, chooses their delivery method, reviews the price, fees, and total amount, and then confirms their Order.

24.2 — Formation of the contract. The sale is formed upon validation of the payment and confirmation by the Seller where such confirmation is provided for. Failing this, the Order is cancelled and the corresponding sums are refunded.

24.3 — Offers and negotiation. Where this feature is available, the Buyer may propose an alternative price. An accepted offer shall only reserve the Item once the payment has been effectively validated, unless otherwise indicated displayed on the Platform.

24.4 — Plurality of Sellers. An Order involving multiple Sellers may give rise to separate shipments, fees, and delivery times for each Seller.

Article 25 — Price and payment

The prices and fees payable by the Buyer are displayed before confirmation of the Order. Payment is made online using the methods offered at checkout.

25.1 — Currencies, international transactions and conversion fees. The reference currency of the Platform is the euro. Where display or payment in another currency is offered, conversions are performed according to the rate applied by the Platform, its payment service provider, or the banking institution concerned.

Conversion fees or bank charges may be added where they are applied by a third-party provider. They are separate from the Commission and any import duties and taxes.

Article 26 — Delivery

26.1 — Served areas. The available destinations are those offered at the time of the Order.

26.2 — Calculation of charges. Shipping costs are calculated or estimated based on weight, dimensions, destination, and delivery method. They are displayed before validation when known.

26.3 — Delivery methods. Depending on the Item and destination, home delivery, collection point delivery, or specialised transport may be offered.

26.4 — Bulky items. Items whose weight or size exceeds standard transport limits may be subject to a specific quotation submitted to the Buyer prior to the performance of transport.

26.5 — Lead times. The announced lead times are those communicated at the time of the Order. For sales subject to consumer law, the mandatory periods provided for by law shall remain applicable.

26.6 — Transfer of risks. For a consumer Buyer purchasing from a professional Seller, the risk of loss or damage is transferred at the moment when the Buyer, or a third party designated by them, takes physical possession of the Item, subject to applicable legal rules.

Article 27 — Customs and deliveries outside the European Union

For deliveries outside the European Union, the Buyer may be considered as the importer and shall bear the customs duties, taxes, and customs clearance fees payable at destination, unless otherwise indicated at the time of the Order.

The Buyer shall ensure that the importation of the Item is authorized in their country. Local duties and taxes are distinct from the price of the Item, the Commission, and conversion fees.

Article 28 — Receipt and inspection

Upon receipt, the Buyer shall inspect the condition of the parcel and of the Item. Any apparent damage must be reported to the carrier and the Platform as soon as possible, with supporting evidence.

Any claim relating to a visible discrepancy between the Item received and the Listing must be reported via the personal account within seventy-two hours following delivery in order to enable, where applicable, operational assistance from the Company. This period does not create any contractual right to a return, refund, or guarantee on the part of the Company.

Doubts regarding authenticity may be reported after receipt. However, where no Authentication has been requested prior to purchase, such a report cannot be interpreted as calling into question any certification or guarantee provided by the Company, as the latter has not authenticated the Item. Any potential recourse falls directly within the relationship between the Buyer and the Seller, subject to applicable mandatory provisions.

Article 29 — Returns and after-sales obligations of the Seller

29.1 — Sale by a professional Seller. The Company neither organises nor handles, in place of the professional Seller, requests for withdrawal, return, refund or any other after-sales obligation incumbent upon them due to their professional status. The professional Seller is solely responsible for informing the Buyer, receiving their requests and processing them in accordance with the rules applicable to them.

When a request of this nature is sent to the Company, the latter may forward the contact details or the request to the Seller concerned, without becoming a party to the dispute or substituting itself for the Seller in its processing.

29.2 — Sale by a private Seller. For sales concluded between private individuals, the Company provides for no contractual right of withdrawal, return or refund after delivery. Any potential difficulty is dealt with directly between the Buyer and the Seller, on a case-by-case basis, subject to the mandatory provisions of applicable law.

Article 30 — Absence of guarantee provided by the Company

The Company, in its capacity as an intermediary, grants no commercial, contractual or authenticity guarantee on the Articles sold by the Sellers.

When a Seller acts in a professional capacity, they remain solely responsible for all legal or contractual obligations potentially applicable to their sale and manage them directly with the Buyer, without any support from the Company.

When a Seller acts in a private capacity, the Company establishes no commercial guarantee or return mechanism. Any potential remedies between the parties fall exclusively under the law applicable to their relationship and are not guaranteed by the Company.

Article 31 — Disputes between Members

31.1 — Initiation. The Buyer may open a dispute when they have not received their Order or consider that they have received a non-compliant Article. The Payout may then be suspended while the file is being processed.

31.2 — Investigation. The Company invites the parties to produce the relevant evidence and may seek the opinion of a third party. It endeavours to propose an amicable solution within a period of ten working days from receipt of a sufficiently complete file.

31.3 — Possible outcomes.

  • the upholding of the sale and the release of the Payout;
  • the return of the Article and the refund of the Buyer when accepted by the parties or directly handled by the Seller concerned;
  • a partial refund accepted by the parties;
  • the cancellation of the sale when an Authentication validly requested concludes that the item is not authentic or is counterfeit.

31.4 — Scope of intervention. The Company intervenes solely to facilitate an amicable settlement. It is neither an arbitrator nor a court and is not a party to the sales contract. If the dispute exceeds its role as an intermediary or if no amicable solution is found, it is the responsibility of the Seller and the Buyer to exercise their remedies before the competent courts or bodies. The Company may transmit the elements it holds when authorised or required to do so by law.

Article 32 — Reviews

Following an Order, the Buyer may be invited to leave a review. The Company may implement mechanisms enabling it to identify reviews associated with a verified purchasing experience.

It may remove any review that is unlawful, abusive, discriminatory, defamatory, fraudulent, contains personal data, or is unrelated to the transaction. A review may not be removed solely on the grounds that it is unfavourable.

Title III — Reserving a Stand at a Salon du Vintage

Relations between the Company, organiser of the Salons, and the Exhibitors.

Article 33 — Purpose

This title governs the provision of spaces to Exhibitors at the Salons organised by the Company, as well as the additional services offered on that occasion. It may be supplemented by internal rules or instructions specific to each event.

Article 34 — Application and Selection

Participation in a Salon requires submitting an application describing the activity, the products exhibited and the Exhibitor's requirements. The Company may select Exhibitors based on the consistency of their offering, the quality of presentation, safety and the overall balance of the event.

Submitting an application confers no right to participate until the Company has confirmed the allocation of a pitch and requested payment of the corresponding deposit or price.

Article 35 — Pricing

Pitches are offered according to their surface area, category, location and associated services. The applicable prices are those communicated to the Exhibitor prior to validation of the booking.

Additional services, notably electricity, furniture, mesh panels, clothing racks, signage or other equipment specific to the event, may be offered at an extra cost subject to availability.

Article 36 — Payment and Confirmation

Any stand booking is firm and final upon validation by the Company and payment of the requested deposit. Payment of the deposit constitutes an undertaking by the Exhibitor for the full price of the stand and the services booked.

The balance is due on the date indicated on the proposal, invoice or Exhibitor area. Failing payment within the allotted time, the Company may cancel the allocation of the pitch without waiving the sums that have become due pursuant to these terms.

Article 37 — Allocation of Pitches

The venue layout and the allocation of spaces are the responsibility of the Company. It shall take into account expressed preferences wherever possible, without guaranteeing any specific space unless confirmed in writing.

The Company may alter the space for organizational, security or venue-related reasons. The space is personal and may not be assigned, sublet or shared without prior written consent.

Article 38 — Obligations of the Exhibitor and product authenticity

38.1 — General obligations. The Exhibitor undertakes to comply with assembly, opening and dismantling schedules, to exhibit only products consistent with their application, to comply with regulations applicable to their activity, the venue's safety rules and the organizer's instructions, and to return their space in a clean condition.

Prohibited items within the meaning of Article 13.2, in particular counterfeits, may not be exhibited or sold at a Salon.

38.2 — Authenticity and role of the Company. The Company acts as the organizer of the Salon and, for sales concluded directly on the stands, is not a party to the contract between the Exhibitor and the buyer. It does not systematically authenticate the exhibited products and guarantees neither their authenticity, nor their provenance, nor their compliance. The Exhibitor remains solely responsible therefor.

At Salons, Authentication is offered free of charge, upon the buyer's request, via a partner company. When such a request is made prior to the purchase, the Exhibitor may not object to the inspection of the product concerned and must cooperate with the professional responsible for the examination.

When a buyer chooses not to request the Authentication offered prior to their purchase, they cannot claim that the Company certified or guaranteed the authenticity of the product. This stipulation does not deprive the buyer of the mandatory rights they may exercise against the selling Exhibitor.

The presence of third-party trademarks on products or in Exhibitors' communications does not entail any affiliation, representation or endorsement of the Company by such trademarks.

Article 39 — Cancellation

39.1 — Cancellation by the Exhibitor. Any cancellation by the Exhibitor must be notified in writing. Once the booking has been validated and the deposit paid, the total price of the stand and booked services remains due, even in the event of cancellation or no-show by the Exhibitor, subject to applicable mandatory provisions and cases expressly provided for herein.

The deposit paid is non-refundable in the event of cancellation attributable to the Exhibitor and shall be offset against the total remaining balance due.

39.2 — Cancellation by the Company. In the event of cancellation of the Salon by the Company other than for force majeure, the sums paid in respect of the booking shall be refunded, to the exclusion of any other compensation unless otherwise required by mandatory law.

In the event of force majeure, the Company may offer to postpone participation to a subsequent edition. The financial consequences of such an event shall be determined in accordance with Article 42 and applicable mandatory provisions.

Article 40 — Insurance and liability

The Exhibitor shall take out and maintain the insurance policies required for its activity and property during the Salon and shall provide proof thereof upon request.

The Exhibitor remains the custodian of its property during setup, opening, closing and dismantling. The Company shall not be held liable for theft, loss or damage except in the event of fault directly attributable to it.

The Exhibitor shall be liable for damage caused to the venue, facilities, other exhibitors, the public or third parties as a result of its activity, property, staff or service providers.

Section IV — Final Provisions

Provisions applicable to all relationships governed by these terms.

Article 41 — Liability of the Company

The Company is bound by an obligation of best endeavours in the provision of its own services and shall be liable for direct damage resulting from a breach attributable to it within the limits permitted by law.

It shall not be liable for the performance of the sales contract concluded between a Seller and a Buyer, nor for the authenticity, origin, condition or conformity of the Items, except where required by law or in respect of a service expressly assumed by it.

Where Authentication is requested, the technical conclusion shall rest with the professional carrying it out. The Company shall not be deemed to represent the brands concerned or to provide a brand guarantee.

Nothing in these terms shall limit any liability that cannot legally be excluded, in particular in the event of fraud, gross negligence, personal injury or mandatory consumer rights.

Article 42 — Force majeure

Neither party shall be liable for any failure resulting from an event constituting force majeure within the meaning of Article 1218 of the Civil Code. The hindered party shall notify the other party as soon as possible.

The affected obligations shall be suspended for the duration of the impediment. If the impediment continues for more than sixty days and permanently renders the performance of the obligation in question impossible, the contract or service may be terminated under the conditions provided by law.

Article 43 — Evidence

Computerised registers, Order histories, messages, notifications and technical data stored under reasonable security conditions may be produced as evidence, without prejudice to the right of the parties to submit any other admissible opposing evidence.

Article 44 — Partial nullity, tolerance, assignment

If any provision of these terms is declared null or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law.

The failure of either party to enforce any breach shall not be construed as a waiver of the right to enforce it at a later date.

The Company may transfer all or part of its rights and obligations in the context of a restructuring, business transfer or equivalent transaction, in compliance with applicable rules.

Article 45 — Complaints and consumer mediation

Any complaint must be addressed as a priority to customer service using the contact details provided on the Platform or by post to the Company's registered office. The Company shall endeavour to respond within a reasonable timeframe.

Following a prior written complaint that has remained unresolved, the consumer may, where eligible, have free recourse to the consumer mediator to whom the Company is affiliated. The contact details of the competent mediator are provided on the Platform or on any other medium required by applicable regulations.

Recourse to mediation does not deprive the consumer of their right to bring an action before a competent court.

Article 46 — Governing Law and Jurisdiction

These terms are governed by French law, subject to any mandatory provisions that may apply to the consumer by virtue of their place of residence.

In the absence of an amicable settlement, disputes shall be brought before the competent courts in accordance with ordinary law rules. The consumer benefits from the protective jurisdictional rules applicable to them. For disputes exclusively between professionals, the jurisdictional rules provided for by the Code of Civil Procedure and the Commercial Code shall apply, subject to any validly agreed jurisdiction clause.

These terms shall enter into force on 8 September 2026. They are permanently accessible on the Platform and may be downloaded or printed.
